Terms of Service

1. Who we are

NewBusinessSignal is a new-business-formation digest operated by Protexa Property Services (1338 Wellington St. W., Ottawa, Ontario, Canada) ("we", "us"). By subscribing you agree to these Terms. If you don't agree, don't subscribe, or cancel anytime.

2. The service

NewBusinessSignal delivers an email digest of new business entity filings matching filters you choose (state, entity types, counties, NAICS industry keyword). Digests are sent daily, every morning, at 7am Pacific Time. Filings come from official public records published by the Secretaries of State of New York, Florida, Colorado, Connecticut, and Oregon.

NewBusinessSignal is not affiliated with any Secretary of State or any other government agency. We are a private service that reformats, classifies, and filters public-record data.

3. Free trial

Every new subscription begins with a 14-day free trial. We collect your payment method up front through Stripe to verify the account, but you are not charged during the trial. Cancel any time before day 14 and you owe nothing. On day 15 the first monthly charge posts automatically; cancel after that and the subscription stops at the end of the current billing period.

4. Billing and subscription

Subscriptions are monthly, in US dollars, charged in advance via Stripe. Current prices are listed on the homepage. Prices are exclusive of any applicable sales tax, VAT, or GST, which Stripe calculates at checkout based on your billing address. By subscribing you authorize Stripe, our payment processor, to charge your payment method on the first day of each billing period until you cancel.

5. Cancellation and refunds

  • Cancel anytime during the trial via /manage/cancel or by clicking the "Cancel subscription" link in any NewBusinessSignal email. No charge ever posts if you cancel during the 14-day trial window.
  • Cancel after the trial via the same surfaces. Your subscription stops billing at the end of the current period; you keep receiving digests until then.
  • Refunds after the trial are not automatic but we will consider them case-by-case if you email info@protexaservices.com within 7 days of a renewal charge.
  • One-click unsubscribe (CASL / CAN-SPAM compliant) stops all digest emails immediately and cancels any active subscription at the end of the current period.

6. Your responsibilities

You agree not to:

  • Resell, redistribute, or systematically scrape NewBusinessSignal digest content without written permission. (The underlying data is public; our compiled digest, AI summaries, and classifications are not.)
  • Use information from the digest, the Apollo enrichment feature, or the AI cold-email generator to contact businesses or individuals in ways that violate CAN-SPAM, CASL, the TCPA, applicable state "do not call" rules, or any other anti-spam or unsolicited communication laws. You are solely responsible for the compliance of any outreach you conduct based on data we provide or content we draft for you. The cold-email drafts our AI generates are starting points; you must review them, include required CAN-SPAM disclosures (physical mailing address, unsubscribe path), confirm the recipient's jurisdiction-specific rules, and choose whether to send.
  • Treat any contact information surfaced via the Apollo integration as third-party data subject to Apollo's terms of service in addition to ours. Use of your Apollo API key and any data returned is governed by your separate agreement with Apollo.io; we are a passthrough.
  • Share your password or magic-link management URL. Both grant access to edit your filter and cancel your subscription.
  • Use the service to attempt to identify or contact individuals in a way that violates their privacy (the public filings name registered agents and officers; treat that information with the same care as any other public record).

7. Data accuracy

We aggregate public records and apply AI classification (NAICS industry code and a one-line summary per filing). Mistakes happen: a filing may be mis-classified, a summary may be imperfect, or the underlying public-records feed may have errors or delays. NewBusinessSignal is provided "as-is" for informational purposes. Don't make high-stakes business or legal decisions on a single digest entry without verifying with the official Secretary of State source for that state.

8. Liability

To the maximum extent permitted by law, our total liability for any claim related to NewBusinessSignal is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, arising from your use of the service.

9. Changes to these Terms

We may update these Terms. Material changes will be announced in a NewBusinessSignal email at least 14 days before they take effect. Continued use after the effective date is acceptance.

10. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, where Protexa Property Services is established. Any dispute arising from these Terms or your use of NewBusinessSignal will be resolved in the courts of Ontario, Canada, except where consumer-protection statutes in your jurisdiction grant you non-waivable rights to a different forum.
